By purchasing any advertising product or entering into a sponsored-content partnership on Qlipps, you agree to these terms.

1. What we deliver
| Product | Delivery |
|---|---|
| Homepage Hero | Your video plays during the booked window in rotation on the homepage cinematic hero. |
| Category Pill sponsorship | Your logo appears on the specified category pill across relevant surfaces for the booked period. |
| Creator Spotlight | A creator is pinned at the top of the selected category section for the booked period. |
| Brand Connect | A direct message thread is unlocked between your brand account and the selected creator, plus related analytics access. |
| Video Ad Partnership | A brand and creator negotiate a sponsored-video deal through Qlipps. On acceptance, the brand pays the agreed amount; funds are held in escrow until the creator publishes the deliverable and the brand confirms (or the review window expires). The creator is paid via Stripe Connect after release. |
All placements and partnership deliverables are provided on a best-effort basis with a 99% uptime target. Scheduled start times and partnership deadlines may vary slightly due to content review, dispute review, or technical maintenance.
2. Refund policy
- Homepage Hero (brand video): Full refund if your content is rejected and you do not submit an acceptable replacement within 24 hours. No refund once the placement is live.
- Category Pill / Creator Spotlight: No refund once the placement is active.
- Verified Brand Account subscription: Prorated refund within the first 7 days only. Cancel anytime thereafter; access continues through the current billing period.
- Brand Connect: No refund — messaging access is delivered immediately upon payment.
- Video Ad Partnership:
- Missed deadline: If the creator does not publish a linked deliverable video by the agreed deadline, the brand receives a full refund automatically. No admin action is required for this case.
- Before acceptance: No payment is collected until both parties agree on final terms; proposals may be declined or countered without charge.
- After publish — dispute: If the brand disputes a published deliverable, Qlipps admin reviews the case. Outcomes may include full release to the creator, full refund to the brand, or a partial split determined by admin based on the evidence.
- After publish — no dispute: If the brand does not confirm or dispute within the review window (default 5 days, admin-editable), the partnership is auto-confirmed and funds release to the creator per the revenue-share rules below.
3. Content policy
Advertising and sponsored-partnership content must not include:
- Explicit or adult-only material prohibited by our Community Guidelines
- Promotion of competing video platforms (YouTube, TikTok, Instagram, etc.) as the primary call to action
- Misleading claims or false endorsements
- Content that contradicts the Creator Bill of Rights
Violations may result in immediate removal of the placement, partnership termination, or ad unit takedown without refund.
4. Content independence
Paid placements have zero effect on organic content ranking, recommendation algorithms, or search results. Sponsoring a category does not change which organic videos appear in that category. Video Ad Partnerships are disclosed sponsored content and do not buy organic reach or algorithmic preference. Qlipps does not sell organic reach.
5. FTC disclosure
All paid placements and partnership videos must be clearly disclosed to viewers.
Platform placements
- Category pill sponsorships display the sponsor logo with a "Sponsored by [Brand]" tooltip where applicable.
- Paid homepage hero placements display a Sponsored indicator on the featured card.
- Creator Spotlight placements purchased by creators display a Featured badge (creator self-promotion, not a third-party sponsorship label).
Video Ad Partnerships
- Published partnership videos must carry a "Sponsored" disclosure tag using the same FTC-compliant pattern as other paid placements on Qlipps.
- The creator must confirm FTC disclosure before submitting the deliverable link for brand review and payment release.
- Brands and creators are each responsible for ensuring their creative, captions, and on-screen messaging comply with applicable U.S. FTC endorsement guidelines and any other laws that apply to them.
Brands are responsible for ensuring their creative complies with applicable advertising disclosure laws in all jurisdictions where their content is shown.
6. Brand account terms
- Verified Brand Accounts are billed monthly or annually via Stripe Subscriptions (separate from Stripe Connect Express creator payouts).
- Your Verified Brand badge remains active only while subscription status is current.
- If payment fails after Stripe retry periods, the badge may be removed until payment is restored.
- Founding Brand Partner rates, when applicable, remain locked for the life of the account per your signed agreement.
7. Video Ad Partnerships
Video Ad Partnerships let brands and creators negotiate sponsored-video deals entirely on Qlipps. The platform facilitates proposal, acceptance, escrow, deliverable linking, review, and payout — it is a deal facilitation service, not a fixed-price placement product.
7.1 Revenue share
Qlipps retains a platform fee from the agreed partnership amount; the remainder is paid to the creator via their existing Stripe Connect account (the same payout rail used for marketplace sales and tips).
| Creator tier | Creator share | Platform share |
|---|---|---|
| Standard Creator | 70% | 30% |
| Founding Creator | 80% | 20% |
Fee rates may be reflected in admin settings (video_ad_fee_rate, founding_creator_ad_fee_rate) but the creator/platform split above is the locked commercial model for Video Ad Partnerships. Founding Creator status is determined by Qlipps per program rules at the time funds are released.
7.2 Partnership flow and delivery rules
- Proposal: The brand proposes an amount (USD), deliverables (free text), and deadline. No payment is collected at proposal time.
- Response: The creator may accept, decline, or counter. Counter-offers return to the brand for review.
- Funding: On final acceptance, the brand is charged the full agreed amount via Stripe. Funds are held by Qlipps in escrow — not transferred to the creator yet.
- Publish: The creator publishes the sponsored video on Qlipps and links it to the partnership record, with mandatory Sponsored disclosure confirmed.
- Brand review: The brand has the review window (default 5 days) to confirm the deliverable met the agreed terms or dispute it.
- Release or refund: On confirm, auto-confirm after the review window, or admin resolution of a dispute, funds release or refund per Sections 2 and 7.5.
Delivery is complete when the linked video is live, disclosure is confirmed, and the deliverable reasonably matches the accepted proposal terms (length, mention type, brand integration described in the agreement).
7.3 Payment release conditions
Creator payout occurs only when all of the following are true:
- Partnership status is confirmed (manual brand confirm, auto-confirm after review window, or admin resolution in the creator's favor).
- A deliverable video is linked to the partnership record.
- FTC Sponsored disclosure is confirmed on the deliverable.
- The creator has a connected, payout-eligible Stripe Connect account.
- No active hold, dispute block, or compliance review prevents release.
Platform fee is deducted at release; the net amount transfers to the creator's Connect account. Brands are charged the gross agreed amount at acceptance; escrow protects both parties until delivery conditions are met.
7.4 Brand obligations
Brands agree to:
- Provide accurate business identity and proposal terms (amount, deliverables, deadline).
- Pay the agreed amount promptly upon acceptance.
- Review published deliverables in good faith within the review window.
- Dispute only when the deliverable materially fails to match the accepted terms, with a clear reason submitted to Qlipps.
- Comply with applicable advertising, consumer-protection, and FTC disclosure laws.
- Not request content that violates the Content Policy (Section 3) or Community Guidelines.
7.5 Creator obligations
Creators agree to:
- Review proposals honestly and respond within a reasonable time.
- Publish the deliverable by the agreed deadline or forfeit the partnership payment (brand refunded in full).
- Apply the required Sponsored disclosure before submitting the deliverable link.
- Deliver content that matches the accepted proposal terms.
- Maintain an active Stripe Connect account eligible to receive payouts before funds can release.
- Comply with applicable FTC endorsement guidelines and Creator Terms.
7.6 Refunds and disputes
| Situation | Outcome |
|---|---|
| Creator misses deadline without publishing | Full refund to brand (automated) |
| Brand confirms deliverable | Funds release to creator per revenue share |
| Brand takes no action within review window | Auto-confirm → funds release to creator |
| Brand disputes after publish | Admin review — release to creator, full refund to brand, or partial split |
| Content policy violation | Placement/partnership terminated; refund at Qlipps discretion |
Disputed partnerships are reviewed by Qlipps admin with access to the proposal history, published video, and party communications on-platform. Admin decisions on escrow release are final for platform payment purposes, without prejudice to either party's rights under applicable law.
7.7 Content ownership and licensing
- Creator ownership: The creator retains ownership of their video and underlying creative work. Qlipps does not acquire copyright in partnership deliverables.
- License to Qlipps: By publishing a partnership deliverable on Qlipps, the creator grants Qlipps the non-exclusive license needed to host, display, transcode, and promote the video on the platform, consistent with the Terms of Service and Creator Terms.
- License to brand: Unless otherwise agreed in writing outside these Advertising Terms, the brand receives no ownership interest in the video. A limited, non-transferable right to share or embed the published Qlipps URL for campaign reporting and organic promotion is permitted. Download, whitelisting, paid media usage, or off-platform redistribution requires separate written agreement between brand and creator.
- Brand assets: Any logos, product footage, or briefs supplied by the brand remain the brand's property. The creator may use them only to fulfill the accepted partnership deliverable.
