This Seller Agreement ("Agreement") is a binding contract between you ("Seller," "you") and Qlipps ("Qlipps," "we") governing your participation as a seller on the Qlipps Creator Marketplace.
By enabling marketplace selling, creating a Listing, or accepting an order, you agree to this Agreement, the Marketplace Terms of Service, Seller Standards, Fee & Payment Schedule, and incorporated platform policies.
TABLE OF CONTENTS
1. SELLER ONBOARDING
1.1 Stripe Connect. Sellers must complete Stripe Connect onboarding and maintain an account in good standing. Qlipps may withhold payouts if Stripe or Qlipps risk reviews require it.
1.2 Verification. You agree to provide accurate identity, tax, and business information upon request.
1.3 Creator Terms. Marketplace selling requires compliance with Creator Terms of Service where applicable.
2. LISTINGS AND FULFILLMENT
You are solely responsible for Listing content, pricing, inventory, digital file security, shipping, and customer communication. You will fulfill orders within stated timeframes and comply with the Prohibited Items Policy.
3. FEES AND PAYOUTS
You authorize Qlipps to deduct the Platform Fee and applicable processing or dispute costs from transaction proceeds as described in the Fee & Payment Schedule.
4. TAXES
You are responsible for determining and remitting taxes on your sales except where Qlipps is legally required to calculate and collect tax as described in the Tax & Facilitator Notice.
5. REPRESENTATIONS
You represent that you own or have rights to sell offered goods and services, that Listings are truthful, and that you will comply with applicable consumer protection and export laws.
6. INDEMNIFICATION
You agree to indemnify and hold harmless Qlipps from claims arising from your Listings, products, services, tax obligations, or breach of this Agreement, subject to applicable law and the limitations in the platform Terms of Service.
7. TERMINATION
You may stop selling by deactivating Listings. Qlipps may suspend selling privileges for policy violations, risk, or legal requirements. Termination does not eliminate obligations for completed orders or outstanding disputes.
