These Marketplace Terms of Service ("Marketplace Terms") govern your access to and use of the Qlipps Creator Marketplace (the "Marketplace"), including browsing creator storefronts, purchasing products or services, and selling as a creator. The Marketplace is operated by Qlipps ("Qlipps," "we," "us," or "our"), a company registered in Illinois, United States.
These Marketplace Terms supplement the Qlipps Terms of Service, Privacy Policy, Community Guidelines, and (for sellers) the Seller Agreement. If there is a conflict between these Marketplace Terms and the general Terms of Service regarding marketplace transactions, these Marketplace Terms control for marketplace matters only.
By accessing the Marketplace, making a purchase, or listing a product, you agree to these Marketplace Terms.

1. ROLES AND RELATIONSHIP
1.1 Marketplace facilitator. Qlipps provides technology that allows independent creators ("Sellers") to list digital goods, physical products, and services ("Listings") for sale to users ("Buyers"). Except where Qlipps is expressly identified as the seller, Sellers—not Qlipps—are responsible for their Listings, fulfillment, and customer service.
1.2 No agency. Sellers are independent contractors. Nothing in these Marketplace Terms creates a partnership, joint venture, employment, or agency relationship between Qlipps and any Seller.
1.3 Incorporated policies. The following marketplace policies are incorporated by reference: Buyer Protection Policy, Fee & Payment Schedule, Digital Product Policy, Shipping Policy, Prohibited Items Policy, Dispute Resolution Policy, and Tax & Facilitator Notice.
2. ELIGIBILITY
2.1 Buyers. You must have a valid Qlipps account and be legally able to enter into binding contracts in your jurisdiction. Users under 18 must have parental or guardian consent consistent with the platform Terms of Service.
2.2 Sellers. Sellers must be at least 18 years old, complete identity verification and Stripe Connect onboarding, and accept the Seller Agreement and Seller Standards.
3. MARKETPLACE PURCHASES
3.1 Order formation. When you complete checkout, you submit an offer to purchase from the Seller. An order is formed when payment is authorized and Qlipps or the payment processor confirms the transaction.
3.2 Digital delivery. Digital products may be made available immediately after successful payment, subject to the Digital Product Policy.
3.3 Physical goods. Physical orders are subject to the Shipping Policy and may be subject to a brief escrow hold before Seller payout, as described in the Fee & Payment Schedule.
3.4 Services and bookings. Services and appointment-based Listings are governed by the No-Show Policy.
4. PRICING AND FEES
4.1 Listed prices. Sellers set List prices displayed on product pages. Qlipps does not add a separate buyer platform surcharge to the listed checkout price for standard marketplace purchases.
4.2 Taxes. Applicable sales, VAT, or similar taxes may be calculated and collected at checkout where required by law, as described in the Tax & Facilitator Notice.
4.3 Seller fees. Qlipps charges Sellers a marketplace platform fee on completed sales as set forth in the Fee & Payment Schedule. Payment processing costs may also apply.
5. SELLER LISTINGS
Sellers represent that their Listings are accurate, lawful, and that they have all rights necessary to sell and deliver the offered goods or services. Qlipps may remove or restrict Listings that violate the Prohibited Items Policy, Seller Standards, or applicable law.
6. PROHIBITED CONDUCT
You may not use the Marketplace to sell or purchase prohibited items, commit fraud, manipulate reviews, circumvent fees, or interfere with platform security. Additional rules appear in the Prohibited Items Policy and platform Community Guidelines.
7. INTELLECTUAL PROPERTY
Marketplace content is protected by intellectual property laws. Complaints regarding infringing Listings are handled under the Intellectual Property Policy and platform DMCA procedures (dmca@qlipps.com).
8. DISPUTES AND CHARGEBACKS
Buyers and Sellers should first attempt to resolve order issues through Qlipps support and the Dispute Resolution Policy. Unauthorized chargebacks may result in account restrictions. See also the platform Refund Policy.
9. SUSPENSION AND TERMINATION
Qlipps may suspend Marketplace access, withhold payouts, or remove Listings when we reasonably believe there is fraud, legal risk, or a policy violation.
10. DISCLAIMERS AND LIABILITY
THE MARKETPLACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QLIPPS DISCLAIMS WARRANTIES REGARDING SELLER LISTINGS AND THIRD-PARTY FULFILLMENT. QLIPPS'S LIABILITY ARISING FROM MARKETPLACE USE IS SUBJECT TO THE LIMITATIONS IN THE PLATFORM TERMS OF SERVICE.
11. GOVERNING LAW
These Marketplace Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles, consistent with the platform Terms of Service.
